Banca March sells an additional 41% stake in Inversis, which is beginning a new phase of growth driven by Euroclear as its majority shareholder

  • In accordance with the terms of the agreement announced in July 2024, Banca March has sold a 41% stake in Inversis to Euroclear for €221 million, which is in addition to the 49% acquired by the multinational financial services company in March 2025 for €172 million.

Banca March has completed the sale of a 41% stake in Inversis to Euroclear, a world leader in the provision of Financial Market Infrastructure (FMI) services, for €221 million. Euroclear thus increases its stake in Inversis to 90% (in March 2025 it acquired an initial stake of 49% for €172 million) and becomes the majority shareholder. The agreement is part of the process announced in July 2024, which anticipates that the multinational financial services company will complete the acquisition of 100% of the capital within 18 months from the formalisation of this second phase of the operation.

Through this transaction, Inversis takes another step in its growth, with a greater international presence and an unprecedented expansion of its value proposition for institutional clients. This agreement will offer Inversis access to larger clients and ways to export its successful business model to other markets. The company will act as the platform for Euroclear's Mediterranean strategy, a milestone that will boost growth in both the Spanish market and in Italy, where Inversis already has a representative office. For Euroclear, this alliance strengthens its presence in Southern Europe and reinforces its role in supporting the Savings and Investment Union (SIU).

Banca March will benefit from these expanded capabilities, both in the context of its own international expansion and in the services to its clients, as it will maintain a privileged relationship with Euroclear as a strategic partner.

Banca March, a crucial partner for Inversis' growth

The robust support offered by Banca March to Inversis over the last decade is a true reflection of the Group's investment philosophy, which seeks to accelerate the growth of the companies in which it is part, with a long-term vision and a focus on value creation. Since the bank acquired 100% of Inversis in 2014, following the savings bank crisis, Banca March has driven its development by equipping it with technology, human resources and other investments to expand its comprehensive asset distribution service offering for institutional clients, as well as its international reach.

In 2021, this growth intensified with a strategic investment plan aimed at strengthening Inversis's activity in Spain with new customer services, boosting international expansion into new markets, promoting inorganic growth through acquisitions that complement Inversis's business, and strengthening technological transformation at every level. Having achieved a significant amount of progress, Banca March hands over the reins to Euroclear, a global partner capable of expanding the scale and scope of Inversis's development.

Inversis is forming part of a leader with a global presence that operates Central Securities Depositories (CSDs) in Belgium, Finland, France, Ireland, the Netherlands, Sweden and the United Kingdom. The Spanish firm thus culminates an intense period of international growth, marked by the purchase of 40% of the Luxembourg group Adepa in 2022, the acquisition of Openfinance in 2023, and the integration of Banque Havilland's depositary business (€3 billion in assets under custody) that same year, a process that saw the opening of its branch in Luxembourg in May 2024.
